          On April 15, 2010, Vector Group Ltd. announced that it intends to offer $75 million aggregate principal amount of 11% Senior Secured Notes due 2015 to qualified institutional buyers in accordance with Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to persons outside of the United States in compliance with Regulation S under the Securities Act. The full text of the press release issued in connection with the announcement is attached as Exhibit 99.1 to this Current Report on Form 8-K.

VECTOR GROUP LTD. ANNOUNCES PRIVATE OFFERING OF
$75 MILLION AGGREGATE PRINCIPAL AMOUNT
OF 11% SENIOR SECURED NOTES
     MIAMI, FL, April 15, 2010 — Vector Group Ltd. (NYSE: VGR) (the “Company”) announced today that it intends to offer $75 million aggregate principal amount of 11% Senior Secured Notes due 2015 (the “Notes”) to qualified institutional buyers in accordance with Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to persons outside of the United States in compliance with Regulation S under the Securities Act. The Notes would be fully and unconditionally guaranteed on a joint and several basis by all of the wholly owned domestic subsidiaries of the Company that are engaged in the conduct of the Company’s cigarette businesses.
     The Company intends to use the net proceeds of the issuance for general corporate purposes.
